1. Acceptance of Terms

By accessing or using GraceBase (the "Service"), operated by Cramer Tech LLC (d/b/a GraceBase) ("GraceBase," "we," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

GraceBase provides cloud-based church management software including but not limited to:

  • Member directory and management
  • Donation tracking and reporting
  • Event management and scheduling
  • Communication tools (email, SMS)
  • Online giving and payment processing
  • Administrative tools and reporting

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be authorized to represent your church or organization
  • Notify us immediately of any unauthorized access
  • Be at least 18 years old

You are responsible for all activities that occur under your account.

4. Subscription and Billing

Free Trial: New accounts receive a 14-day free trial. A credit card is required to start, and you won't be charged until the trial ends. Cancel anytime before then to avoid being billed.

Paid Subscriptions: After your trial, you may subscribe to a paid plan. Subscriptions are billed monthly or annually in advance. Prices are subject to change with 30 days notice.

Payment: You authorize us to charge your payment method for all fees. If payment fails, we may suspend or terminate your account.

Refunds: Refunds are handled on a case-by-case basis. Contact support@gracebase.co for refund requests.

5. Cancellation and Termination

Your Right to Cancel: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

Our Right to Terminate: We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Use the Service for illegal purposes
  • Engage in abusive or fraudulent behavior

Data Export: You have 90 days after cancellation to export your data. After 90 days, your data will be permanently deleted.

6. Data Ownership and Usage

Your Data: You retain all rights to data you upload to the Service. You grant us permission to store and process your data solely to provide the Service.

Our Rights: We own all rights to the Service itself, including software, designs, and documentation.

Data Export: You can export your data at any time in standard formats (CSV, JSON).

7. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any laws or regulations in your jurisdiction
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Impersonate another person or organization
  • Harass, abuse, or harm other users
  • Use the Service to send spam or unsolicited communications

8. Service Level and Availability

We strive to provide a high level of uptime but cannot guarantee uninterrupted service. The Service may be unavailable due to:

  • Scheduled maintenance (with advance notice)
  • Emergency maintenance or security updates
  • Factors beyond our control (internet outages, etc.)

9. Limitation of Liability

Important: Please read this section carefully as it limits our liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
  • WE ARE NOT RESPONSIBLE FOR DATA LOSS (THOUGH WE MAINTAIN BACKUPS)

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect and use your information.

12. Children's Data

Churches using GraceBase may store information about children as part of managing church programs and activities. By using the Service to store children's data, you agree to:

  • Obtain verifiable parental consent before entering children's personal information into the platform
  • Comply with all applicable children's privacy laws, including the Children's Online Privacy Protection Act (COPPA) and equivalent state laws
  • Not collect more data about children than is reasonably necessary for church activities and child safety
  • Delete children's data when it is no longer needed for its original purpose or upon parental request
  • Ensure that only authorized church staff and volunteers have access to children's information

GraceBase provides tools to help churches manage parental consent records and children's data retention. However, churches are ultimately responsible for their own compliance with children's data protection laws.

13. Dispute Resolution

Informal Resolution: If you have a dispute, please contact us at support@gracebase.co. We'll work with you to resolve it informally. Most concerns can be resolved this way.

Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Binding Arbitration: If we cannot resolve a dispute informally within 60 days, you and GraceBase agree to resolve any dispute arising out of or relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association under its applicable rules, rather than in court — except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for misuse of intellectual property or unauthorized access to the Service.

Class Action Waiver: Disputes will be resolved only on an individual basis. To the fullest extent permitted by law, you and GraceBase waive any right to participate in a class, collective, or representative action.

Opt-Out: You may opt out of the arbitration and class-action-waiver provisions by emailing legal@gracebase.co within 30 days of first accepting these Terms, stating your name and your intent to opt out.

Venue: For any dispute not subject to arbitration, the state and federal courts located in Texas will have exclusive jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes via email or a notice in the Service. Your continued use after changes constitutes acceptance of the new Terms.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and GraceBase regarding the Service and supersede any prior agreements. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
